Terms of Service
These Terms of Service ("Terms") govern access to and use of the website located at dentalcarecollective.com (the "Site") and the lead generation services (the "Services") provided by Dental Care Collective ("Dental Care Collective," "we," "us," or "our"). By accessing the Site, submitting a form, or engaging our Services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, please do not use the Site or the Services.
1. Description of Services
Dental Care Collective provides marketing and lead generation services to dental practices in the United States, including the promotion of implant-related services, the qualification of prospective patients, and the scheduling of consultation appointments on behalf of participating clinics. We are a marketing and scheduling service. We are not a dental practice, do not employ dentists or clinical staff, and do not provide dental, medical, or clinical advice of any kind.
2. Eligibility
Our Services are intended for licensed dental practices and authorized representatives operating within the United States. By engaging our Services, you represent that you are authorized to act on behalf of the dental practice you represent and that the practice holds all licenses required to provide dental services in its jurisdiction.
3. Booked Consultations and Delivery of Leads
Where our Services include the delivery of "booked implant consultations" or similar scheduled appointments, the following applies:
- A "booked consultation" refers to a prospective patient who has been contacted and screened by our team and has agreed to a specific appointment date and time with your practice.
- We take commercially reasonable steps to screen and qualify prospective patients but cannot guarantee that any individual patient will attend a scheduled appointment, proceed with treatment, or be clinically suitable for any particular procedure. Clinical suitability remains solely the responsibility of your practice and its licensed providers.
- Specific terms regarding pricing, exclusivity, volume, service area, and replacement or credit policies for missed or invalid appointments will be set out in a separate order form, statement of work, or service agreement between Dental Care Collective and the Client, which forms part of these Terms.
- Unless otherwise agreed in writing, leads and booked consultations delivered to a Client are exclusive to that Client within their specified service area and will not be resold to a competing practice in the same area during the term of the engagement.
4. Client Responsibilities
You are solely responsible for: (a) all clinical decisions, diagnoses, treatment plans, and communications with patients; (b) compliance with all applicable healthcare, advertising, telemarketing, and data protection laws applicable to your practice, including HIPAA where applicable; (c) maintaining appropriate professional licensure and insurance; and (d) the accuracy of any information you provide to us for use in marketing campaigns.
5. Fees and Payment
Fees for the Services will be set out in an applicable order form or service agreement. Unless otherwise stated, invoices are due upon receipt, and continued non-payment may result in suspension or termination of Services. All fees are non-refundable except as expressly set out in a separate agreement or as required by law.
6. No Medical or Dental Advice
Nothing on the Site or provided as part of the Services constitutes dental, medical, or professional advice. We do not review, endorse, or take responsibility for the clinical treatment provided by any dental practice using our Services. Any content on the Site is provided for general informational and marketing purposes only.
7. Intellectual Property
The Site, including its design, text, graphics, logos, and other content, is owned by Dental Care Collective or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from the Site without our prior written consent.
8. Third-Party Advertising Platforms
Our Services may involve the use of third-party advertising and technology platforms (such as search engines and social media networks) to reach prospective patients. We are not responsible for the availability, performance, policies, or changes made by such third-party platforms.
9. Disclaimers
The Site and Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will result in any particular number of bookings, patient volume, or revenue outcome for your practice.
10. Limitation of Liability
To the fullest extent permitted by law, Dental Care Collective and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the Site or the Services. Our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the total fees paid by you to us in the three (3) months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Dental Care Collective from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your clinical treatment of patients, your breach of these Terms, or your violation of any applicable law.
12. Termination
Either party may terminate an engagement for Services in accordance with the terms set out in the applicable order form or service agreement. We reserve the right to suspend or terminate access to the Site or Services at our discretion in the event of a violation of these Terms.
13. Governing Law
These Terms are governed by the laws of the State of [Insert State], without regard to its conflict of law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in [Insert County/State].
14. Changes to These Terms
